End User License Agreement For Ambient Rings, LLC (Audio Files)
Notice to user: this is a contract. By downloading the Ambient Rings ringtones (audio files) you agree to be bound by the terms of this agreement. If you do not agree to these terms, you must remove all of the Ambient Rings ringtones (audio files) from your computer. Your use of the Ambient Rings ringtones (audio files) is conditioned upon your prior acceptance of the terms of this end-user license agreement, which is retroactive and can be modified without notice.
You agree that the Ambient Rings ringtones or audio files, constitutes proprietary information and material that is owned by Ambient Rings, LLC and its principals, and is protected by the applicable intellectual property and other laws, including but not limited to copyright, and that you will not use such proprietary information or materials in any way whatsoever expect in compliance with the terms of this agreement. No portion of the aforementioned intellectual property can be modified, reproduced, or redistributed, except with the express permission of Ambient Rings, LLC and its principals, described hereunder. You agree not to, or encourage or assist, any other person to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Ambient Rings ringtones (audio files).
You shall be able to store the Ambient Rings ringtones (audio files) on no more than three (3) computers, and one (1) mobile device (iPhone) at any one time.
You are permitted to make one (1) back-up copy of the Ambient Rings ringtones (audio files) for archival purposes only, provided that you retain exclusive custody and control over such copies.
You agree that you will not distribute or disseminate all or any part of the Ambient Rings ringtones (audio files) through any online service and you further agree that any such intentional distribution shall constitute a theft by you of a valuable property of Ambient Rings, LLC and its principals.
DISCLAIMER OF WARRANTIES, REPRESENTATIONS, AND CONDITIONS
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF THE AMBIENT RINGS RINGTONES (AUDIO FILES) IS AT YOUR SOLE RISK. THE AMBIENT RINGS RINGTONES (AUDIO FILES) OR ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AMBIENT RINGS, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES, REPRESENTATIONS AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
(b) AMBIENT RINGS, LLC MAKES NO WARRANTY THAT (i) THE AMBIENT RINGS RINGTONES (AUDIO FILES) WILL MEET YOUR REQUIREMENTS, (ii) THE AMBIENT RINGS RINGTONES (AUDIO FILES) WILL BE AUDIBLE, COMPATIBLE, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE AMBIENT RINGS RINGTONES (AUDIO FILES) WILL BE USEFUL, FUNCTIONAL OR RELIABLE, (iv) THE QUALITY OF AMBIENT RINGS RINGTONES (AUDIO FILES), INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS OR INCOMPATIBILITY IN THE AMBIENT RINGS RINGTONES (AUDIO FILES) WILL BE CORRECTED.
(c) ANY AMBIENT RINGS RINGTONES (AUDIO FILES) OR OTHERWISE OBTAINED IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY CHARGES, TAXES OR FEES APPLIED BY YOUR NETWORK OPERATOR, CELLULAR SERVICE PROVIDER OR WIRELESS PROVIDER, AND YOU WILL BE FURTHER SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, SOFTWARE, IPHONE, CELL PHONE, OTHER PERSONAL DIGITAL ASSISTANT DEVICES OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.
(d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM AMBEINT RINGS, LLC OR THROUGH OR FROM THE AMBIENT RINGS WEB SITE OR ONLINE STORE OR ITS VENDORS SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
